Terms of service

These terms form the agreement between [Legal entity name] ('we') and the business that creates an orbit in Capra ('you'). By creating an orbit or using the service, you accept them.
The service
Capra is a business CRM provided as a subscription. We may improve or change features; we will not materially reduce the functionality of a paid plan during a billing term without notice and the option to cancel.
Accounts and operators
You are responsible for your operators' actions, for keeping credentials secure, and for the accuracy of the records you enter. Administrators control roles, permissions and API keys inside the product.
Plans, limits and fees
- Free orbits carry usage limits shown in the product under Plan and usage.
- Paid subscriptions renew for the term you select until cancelled.
- Fees are exclusive of VAT and other applicable taxes.
- We may suspend an orbit for non-payment after written notice.
Your data
You own your content. We claim no rights over it beyond what is needed to run the service for you. You can export your data at any time from the product, and you may request a full export on account closure.
Where we process personal data on your behalf, the data processing addendum applies and forms part of these terms.
Acceptable use
- No unlawful, infringing or deceptive content, and no unsolicited bulk email through connected mailboxes.
- No attempts to breach security controls, access other orbits, or interfere with service availability.
- No use of the AI features to generate content that breaches applicable law or a third party's rights.
- Automated access must use an orbit API key and stay within its rate limit and permissions.
Availability and support
We aim for [99.x]% monthly availability excluding planned maintenance announced in advance. Support is by email at [support@yourdomain.com] during [business hours]. Any contractual service level is set out in an order form.
Liability
To the extent permitted by law, neither party is liable for indirect or consequential loss, and each party's total liability in any 12-month period is capped at the fees paid in that period. Nothing limits liability that cannot lawfully be limited.
Termination
Either party may terminate at the end of a billing term, or immediately for material breach that is not remedied within 30 days. On termination we make your data available for export for 30 days, then delete it.
Governing law
These terms are governed by the laws of [jurisdiction], and the courts of [jurisdiction] have exclusive jurisdiction.
